A Due Diligence is an audit launched by the purchaser/investor in order to appreciate the value of the investment. Depending on the results of the audit (review of legal and finance documentation), the purchaser would be able to make an appropriate offer to the seller. It would also allow the parties to determine the scope and importance of the guarantees to be granted by the seller to the purchaser.

Due Diligence could also be launched by the seller (vendor due diligence) in order to present its assets to the potential purchasers.

For decision making, or before executing a document, one needs to examine the authenticity of the other party, of both direct and indirect details. Direct details would include their address, activity and documentation provided by them and their verification. Indirect details verification would be a study of their financials, web search on their activities to substantite their claims, references etc. Due diligence is a step done in order to take an informed decision in order to avoid unwarranted circumstances further leading to legal implications.
