From the Point of View of Shareholders:

Preference Shareholders carry less risk than Equity (Ordinary) ShareHolders--though their return is limited they have an upper edge at the time of dissolution to get their share first (residual after all obligations) compared with Ordinary Share holders. But Ordinary shareholder gain on prosperity of business higher transaction value in the Investment/Capital  Market.
