Hyper-V is build by microsoft and installed inside windows server,It is OS Dependent available only in server2008 and2012 and Server Mechine must have64 bit  Hardware (CPU) and also have support of Virtualization that is must and microsoft is focusing in lot of fields BUT VMware is the company focusing only on  virstuliztion,Vmware is not OS Dependent you can installed it on any Mechine and any OS.
