Corporate Governance is a system. It aims to direct and control the company in order to achieve its goals. It may include procedures structures, organizational structure, board, separation of duties, internal control, internal audit.... etc. Although, it becomes a global concern, there is no one model fit all. There are best practices of corporate governance. However, practices vary from country to other as well as from sector to other.

 

Companies adopt the best practices of corporate governance due several factors. The important one includes compliance with regulation and rules of listing or company; condition to get fund; sophistication of stakeholders’ interests, performance enhancement...etc. However, the actual practice might not necessary in line with the code of best practices unless there is a law enforcement related.
