What is the difference between Corporate governance and Corporate constitution?

Corporate governance refers to the system by which corporations are directed and controlled; it can be a Regulatory authority while corporate constitution declares and defines the scope/framework of company, rights of employees, investors and management and also imposing certain disciplines/boundaries i.e Article of associations.
