It will not be a good choice if you used the USB Flash for portable software or large files.
There are different types of file systems. Disk file system, Tape file system, Database file system, Network file system etc. I think here you are asking about Disk File system.
FAT, NTFS, HFS (Developed by Apple), HPFS (File system for OS/2), UFS (File system for Unix and Unix-like), ZFS (Designed by Sun Systems), XFS (For Linux kernel) are few examples of file systems.

FAT32 file size support tops out at4GB and volume size tops out at2TB.
The maximum theoretical file size on NTFS is16 EB minus1 kB.
To wrap up, there may be compelling reasons why your current situation requires a file system other than NTFS or a combination of different systems for compatibility, but if at all possible go with NTFS.
Only reason I use FAT32 for USB is compatibility issue. FAT32 is compatible with windows (all versions), Mac, and Linux. NTFS doesn’t.

NTFS is the new file system which is preffered for new operating systems. it has many benefits like it support large hard disk. ntfs has the capability to recover the disk related errors automaticaly which fat32 can not doing automaticaly. NTFS has better security system for permissions and access the files and folder to the specific users.
FAT32 file system is used in the earlier operating systems like win98 ,95, 2000. this file system can not used in leatest operating systems. FAT32 file system has size limitation. you can not create fat32 volumn larg then32 gb.
