Both options are valid. A person / investor who want to exercise managerial control would go for buying all assets / more than50% shares. On the other hand investor who does not want to get involved in day to day affairs of the company would invest in Shares. In the end it all depends on the attitude of investors.
The answer depends on the company itself. Is it a reputable company or there is something fishy about it. If you have not too much trust and information about it you can buy only shares and monitor the progress taking place.
