What are the reason behind Adobe's acquisition of its former competitor, Macromedia?

In my opinion there isn't any difference. Old versions of flash are called Macromedia. Newer versions are called Adobe. A few years ago, Adobe bought Macromedia, and since then, all new products have been called Adobe, but it's still party based on the Macromedia stuff.

May be  macromedia is simply a much older version of Flash, not made with the updated TOS or Copyright. 

Adobe Flash still updates: and goes to much higher heights than Macromedia. When Flash updates, alot more standards are added into it, and it's performance will be better GUARANTEED. As always, don't go with the older or worn out products. Adobe Flash is made by many more professional programmers than Macromedia flash.

It's the same of what happened when Facebook bought WhatsApp; the potential they saw in it made them acquire it to demolish the competition in this area and to enhance their services at the same time. "Catch two birds with one stone"

Probably because they feared Microsoft will buy Macromedia, hence the value of the transaction.
