I want to preface my response with I am not a lawyer. Ultra vires is when a corporation acts outside the scope of its corporate directive. This is the generally accepted definition, however, this concept may also apply to US municipalities and non-profits.

"Ultra vires" means beyond the limits. when someone acts ultra vires, it means they have gone beyond the limits or boundaries within which they should have acted.

According to Wikipedia- Ultra vires is a Latin phrase meaning "beyond the powers".

If an act requires legal authority and it is done with such authority, it is characterised in law as intra vires ("within the powers"). If it is done without such authority, it is ultra vires. Acts that are intra vires may equivalently be termed "valid" and those that are ultra vires "invalid".

It is something acting "beyond" the power conferred. For example, if a provision of statute is ultra vires means it is very defeating the objective of the statutes so called enacted. my 2 cents. thanks.
